TEXA’S 231 MODEL, CODE OF ETHICS OF THE TEXA GROUP AND WHISTLEBLOWING REPORTING CHANNELS

TEXA considers integrity to be the strongest guarantee of the company’s social commitment towards all the people working for it, its suppliers, customers, and stakeholders in general.

Behavioural integrity is a fundamental value from both an ethical and a corporate value protection viewpoint.

TEXA has recently approved, by resolution of the Board of Directors, the update to the Organisation, Management and Control Model pursuant to the Italian Legislative Decree No. 231/2001 (the “231 Model”).

With its effective and constant application, the 231 Model allows preventing the Company’s administrative liability with reference to the commission of certain types of crimes.

Along with the 231 Model, the Code of Ethics of the TEXA Group was also updated, which reports the values, the mission and the fundamental ethical principles that characterise the corporate culture and that must inspire the conduct of those who work in the interest of the TEXA Group, both inside and outside the organisation, when performing business and corporate activities.

Whistleblowing Reporting Channels

In compliance with the European Directive on Whistleblowing (Directive EU 2019/1937 dated 23/10/2019 adopted in Italy with the Legislative Decree No.24 dated 10/03/2023), the TEXA Group has introduced, in its business processes, all the operating modes to guarantee a high level of protection of the persons reporting breaches of Union law (“Whistleblowers”) by:

  • creating secure reporting channels that can be accessed by everyone
  • appointing an Ethics Committee as an autonomous and independent body tasked with managing the reports.
